1. Acceptance of Terms
These Terms of Service (“Terms”) constitute a binding legal agreement between tanderrum.ai (“we”, “us”, or “our”) and the individual or legal entity (“Customer”, “you”) subscribing to, accessing, or utilizing the MAYA artificial intelligence voice agent software, telephony infrastructure, and associated services (the “Service”).
By accessing tanderrum.ai, registering an account, integrating our APIs, or utilizing the voice agent, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an enterprise or organization, you represent that you have the legal authority to bind that entity.
2. Description of Services
MAYA is an enterprise AI voice agent platform designed for customer call centers. The Service provides conversational natural language understanding, real-time telephony connectivity, automated database/CRM querying, call disposition logging, and intelligent transfer of calls to human specialists with context.
3. Telecommunications Laws & Call Recording Consent
Because MAYA handles telephone communications, Customer agrees to strictly comply with all applicable federal, state, and international telecommunications laws. In particular, Customer represents and warrants that:
- Call Recording & Consent: In many jurisdictions (including two-party consent states in the US and countries under GDPR), recording or monitoring telephone conversations requires prior caller consent. Customer is solely responsible for ensuring that appropriate disclosures (e.g., “This call may be recorded for quality assurance”) are played at the start of any call where recording or transcription is enabled.
- AI Disclosure Mandates: Where required by applicable statutes (e.g. state artificial intelligence disclosure laws), Customer must configure MAYA to state transparently to callers that they are speaking with an AI voice assistant.
- TCPA & TSR Compliance: For all outbound calls, Customer must strictly comply with the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule (TSR), national and internal Do-Not-Call (DNC) registries, and permitted calling hour windows.
- STIR/SHAKEN & Anti-Spoofing: Customer must only originate calls using telephone numbers that Customer owns, licenses, or has verified authorization to display on caller ID. Number spoofing is strictly prohibited.
4. Acceptable Use Policy (AUP)
You agree not to use the Service, nor permit any third party to use the Service, for:
- Unlawful spam, automated robocalls, fraudulent telemarketing, or harassment.
- Emergency Calling Prohibited: MAYA is NOT designed, certified, or intended for calling emergency services (such as 911, 112, 999). You must not attempt to route emergency calls through our Service.
- Phishing, identity theft, or deceptive impersonation of government agencies, financial institutions, or third parties.
- Transmitting malicious code, attempting unauthorized penetration testing, or overburdening telephony infrastructure.
Violation of this Acceptable Use Policy will result in immediate suspension or termination of Service without refund.
5. Accounts & API Security
Customer is responsible for maintaining the confidentiality of administrative login credentials, API keys, and webhook secrets. You agree to notify us immediately at [CONTACT_EMAIL] upon discovering any unauthorized access to your account.
6. Customer Data Ownership & Intellectual Property
Customer Retains 100% Ownership: As between Customer and tanderrum.ai, Customer retains all right, title, and interest in and to all customer database information, caller audio recordings, caller transcripts, and business logic (“Customer Data”).
Platform Intellectual Property: tanderrum.ai retains all right, title, and interest in and to MAYA, including all underlying software, algorithms, user interfaces, documentation, and technical improvements.
7. Third-Party Systems & CRM Integrations
MAYA enables automated querying and writing to Customer's external CRMs, databases, or APIs. Customer is solely responsible for maintaining valid API keys, managing rate limits, ensuring endpoint availability, and verifying that customer data provided to the agent is accurate and authorized.
8. Probabilistic Nature of AI & Human Fallback
Customer acknowledges that artificial intelligence and speech processing technologies operate probabilistically. While MAYA is engineered for high accuracy and latency optimization, language models may occasionally misinterpret ambiguous statements, accents, or background noise.
Customer agrees to design call flows with appropriate validation checks, guardrails, and human escalation rules for high-risk, irreversible, or sensitive transactions (such as large financial disbursements or medical triage).
9. Service Availability & Support
We endeavor to maintain 99.9% uptime for our voice agent infrastructure. Scheduled maintenance windows are announced in advance. Service Level Agreements (SLAs) with financial remedies are provided under custom Enterprise Agreements.
10. Fees, Metered Usage & Payment
Customer agrees to pay all fees associated with their selected tier and metered voice minutes. Usage beyond subscription allowances will be billed at agreed-upon metered rates. Fees are exclusive of applicable taxes.
11. Warranties & Limitation of Liability
EXCEPT AS EXPRESSLY SET FORTH IN A WRITTEN ENTERPRISE AGREEMENT, THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, BUSINESS INTERRUPTION, OR DATA LOSS). IN NO EVENT SHALL tanderrum.ai'S TOTAL AGGREGATE LIABILITY EXCEED THE TOTAL FEES PAID BY CUSTOMER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12. Indemnification
Customer shall defend and indemnify tanderrum.ai, its officers, and employees against any third-party claims, fines, or damages arising out of Customer's breach of telecommunications regulations (including TCPA and call recording consent laws) or violation of the Acceptable Use Policy.
13. Term & Termination
Either party may terminate the subscription upon thirty (30) days written notice prior to renewal. Either party may terminate immediately upon material breach that remains uncured fifteen (15) days after written notice. Upon termination, Customer may request export of their data within thirty (30) days.
14. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where tanderrum.ai is registered, without regard to conflict of law principles. Any dispute shall first be addressed through good-faith negotiation, followed by binding arbitration if unresolved.
